Terms of Service

These Terms of Service ("Terms") are between Craftwell Labs LLC, a North Carolina limited liability company operating Covisors ("Company," "we," "us"), and you. They govern your use of Covisors at https://covisors.com (the "Service") and incorporate our Privacy Policy. By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Covisors is a platform for running mastermind and accountability groups — setting goals, checking in, discussing, and tracking meeting attendance. We provide the Service free of charge and may add, change, or remove features at any time. We may provide updates to fix errors, maintain compatibility, or improve the Service.

2. Eligibility and accounts

The Service is not intended for children under 13, and you must be at least 13 to use it. If you are between 13 and 18, you may use the Service only with the involvement of a parent or guardian who agrees to these Terms. You are responsible for activity under your account and for keeping your sign-in access secure. Notify us promptly at hello@covisors.com if you suspect unauthorized use.

3. Acceptable use

You agree not to:

• Use the Service in any way that violates applicable law.
• Harass, threaten, defame, or violate the privacy or rights of others.
• Infringe anyone's intellectual property.
• Attempt to access, probe, or disrupt the Service, its servers, or other users' accounts without authorization, or introduce malware.
• Scrape, data-mine, or use bots to extract content or circumvent the Service's structure or security.
• Impersonate any person or misrepresent your affiliation.
• Use the Service to send spam or run commercial solicitation schemes.

We may suspend or terminate access for any violation of these Terms, in our good-faith discretion, and will make reasonable efforts to notify you.

4. Your content

You retain ownership of the content you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and display), and display your User Content solely to operate and improve the Service, including displaying it to other members of your group and in notifications. You represent that you have the rights to submit your User Content and that it does not violate these Terms or any law. We are not obligated to monitor User Content but may remove content that violates these Terms.

5. Our intellectual property

The Service, including its software, design, text, graphics, and the Covisors name and logo, is owned by Craftwell Labs LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, create derivative works from, or redistribute the Service except as expressly permitted.

6. Copyright complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice to our designated agent at hello@covisors.com or Craftwell Labs LLC, 500 Westover Dr #33703, Sanford, NC 27330, including: your signature; identification of the copyrighted work; identification of the infringing material and where it is located; your contact information; a statement of good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and you are authorized to act. We respond to valid notices and counter-notices as provided by the Digital Millennium Copyright Act.

7. Termination

You may stop using the Service at any time and request account deletion as described in our Privacy Policy. We may suspend or terminate your access at any time if you violate these Terms or if we discontinue the Service. On termination, your right to use the Service ends. You should retain your own copies of any content you want to keep.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRAFTWELL LABS LLC AND ITS PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100).

10. Indemnification

You agree to indemnify and hold harmless Craftwell Labs LLC and its officers, employees, and agents from any claims, losses, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms or any law.

11. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in North Carolina, and you consent to their jurisdiction. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.

12. Changes to these Terms

We may update these Terms from time to time. Changes are effective when posted to this page, with the effective date updated above. Your continued use of the Service after changes take effect constitutes acceptance.
